Terms and Conditions – CONSORT E3 LTD

The following terms and conditions govern the Client (you/your) relationship with Consort E3 Ltd (E3/us/we) for the event. You must read these terms and conditions before signing your Contract, at which point your booking shall be subject to them. Your booking will not be confirmed without a signed Contract.

1. Hire Times 

Hire times are agreed between E3 and the Client as stated in the ‘Contract’ document alongside these terms and conditions. The times stated in the ‘Start’ and ‘End’ time on the Contract must be strictly adhered to. You must have left E3 by the ‘End’ time. Failing to adhere to the stipulated ‘End’ time will result in E3 Ltd incurring additional costs which shall be payable by you at the E3 standard rate.

2. Maximum Numbers

The capacity of each room (60 people) offered by E3 cannot be exceeded.

3. Accommodation

The nearest overnight accommodation is at Courtyard Keele, please contact the hotel to discuss your requirements, which may be offered at a preferential rate. We will send a booking link for the hotel once your booking is confirmed with E3. 

4. Food and Beverage

The Client must: 

i) Advise final numbers for catering and any other information (including dietary requirements) 10 working days before the event. Should less notice be given, we cannot guarantee to meet all the Client’s requirements. 

ii) Accept that, should food supply be limited, E3 has the right to change the menu and notify you at the earliest opportunity. 

iv) Accept liability for any food products sourced from external suppliers, either professional or not, for attendee consumption.

5. Clients’ Use of the Property

The Client, its representatives or any persons attending the event at the Client’s request or invitation must:

 i) Comply with all relevant laws, health and safety and other regulations relating to E3.

 ii) Obtain prior written consent from us if carrying out any electrical or other works at Consort E3, including amplification and lighting.

iii) Not bring any dangerous or hazardous items to E3 and remove any such items promptly when requested to do so by a member of the Management team or any other authorised person.

iv) Act in a proper and orderly manner and comply with E3 regulations and instructions.

v) Obtain prior written permission from E3 if providing entertainment, services or activities at the event. 

vi) Use the premises only for your declared and accepted activities. 

vii) Not use the premises for illegal, obscene, immoral or defamatory purposes.

viii) Not cause loss or damage to us or to the owner of any interest in the building which contains the E3 facility.

ix) Accept that we reserve the right to refuse entry or remove attendees from site who do not comply with the terms of the Client’s use of E3.

6. Payment Terms

i) Provisional bookings will be held for a maximum of 5 days. 

ii) A 50% deposit is required for bookings made 28 days prior to the event date in addition to returning a signed Contract.

iii) Events taking place within 14 days of booking require 100% payment in addition to returning a signed Contract.

iv) Final attendee numbers and dietary requirements are required 10 days prior to the event.

v) Consort E3 Ltd requires payment via bank transfer to the following account:

vi) Value Added Tax at the current rate will apply as appropriate – all prices quoted include VAT, if applicable.

vii) Consort E3 Ltd reserves the right to cancel any event for which advance payment is overdue by more than 5 days. At this point, the Client will immediately be liable for the cancellation charges detailed in clause 12.

viii) If there are queries on any part of an invoice, the Client will pay the undisputed balance of the sum owed by the due date and the remainder on resolution of the query.

ix) Consort E3 Ltd reserves the right to apply interest against late payments, at 4% over base rate

7. Cancellation by the Client

Consort E3 Ltd recommends that you consider event insurance to cover any eventualities. This booking becomes binding on receipt of a signed copy of our terms and conditions by both parties. In the event that the Client should cancel the booking, the following charges will apply: 

28 days prior to the event – full refund of the 50% deposit 

27-14 days prior to the event – non-refundable

8. Cancellation by the Company

In the unlikely event that Consort E3 Ltd is forced to cancel the booking, the Client will be refunded any payments already made, but Consort E3 Ltd will not have any other liability. Consort E3 Ltd reserves the right to cancel if: 

i) Any part of the property is closed or unavailable due to circumstances beyond the Consort E3 Ltd.’s control. 

ii) There is a force majeure event, which prevents the Consort E3 Ltd from carrying on its business.

iii) The Client or Consort E3 Ltd become insolvent or, in the case of an individual, becomes subject to a bankruptcy petition. 

iv) In the view of Consort E3 Ltd, it is deemed that the booking, or any persons associated with the booking, might damage the reputation of Consort E3 Ltd.

v) Any deposits or agreed advance payments have not been received by Consort E3 Ltd from the Client by the
due date.

9. Changes by the Company

In the unlikely event that Consort E3 Ltd needs to make changes to your booking location we reserve the right to provide you with a suitable and adequate alternative to the original space. We will endeavour to notify the booker at the earliest possibility of any said changes.

10. Liability 

i) Consort E3 Ltd will be liable to the Client and/or persons attending the event for injury to persons or loss/ damage to property only where damage is caused by negligence on Consort E3 Ltd.’s behalf, but otherwise will be under no liability whatsoever. 

ii) The Client is only liable to the extent that the Client and/or persons attending the event as invited guests cause loss or damage to Consort E3 Ltd.’s property, including walls, light fittings and equipment or injury to any person including E3 staff throughout the duration of the event. 

iii) In the event of ‘’Force Majeure’’, meaning any circumstance beyond the control of Consort E3 Ltd including, but not limited to, acts of God, fire, explosions, adverse weather conditions, flood, earthquake, local terrorism, riot, civil commotion, war, hostilities, strikes, work stoppages, lack of power and materials shortages, nothing shall excuse the client from any payment obligations under the contract.

11. Assignment

i) This agreement cannot be assigned to another group or provider of event services without the prior consent of the Client. 

ii) This event booking cannot be assigned to any other Client unless approved in advance by Consort E3 Ltd

12. Variation to Terms & Conditions

i) No variation to these terms will be accepted unless agreed in writing between both parties.

ii) Any variation to these terms and conditions will only be valid if signed by a duly authorised representative of Consort E3 Ltd and the Client.

13. Jurisdiction

This Agreement shall be governed by and construed in accordance with the Laws of England and the Parties irrevocably submit to the exclusive jurisdiction of the English Courts.
